Terms and Conditions
The contractual terms that govern your use of the WMart wholesale platform, including acceptable use and our liability disclaimers.

1. Introduction
These Terms and Conditions (“Terms”) govern the use of the WMart wholesale marketplace platform, accessible at wmart.co.uk (the “Platform”), operated by WMart Ltd, a company registered in England and Wales (“WMart”, “we”, “us”, or “our”).
By accessing or using the Platform you confirm that you are acting in the course of your business and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
We may update these Terms from time to time. Continued use of the Platform after we publish an updated version constitutes acceptance of the updated Terms.
2. Business Use Only
The Platform is intended exclusively for business-to-business transactions. By registering, you warrant that you are a business operating lawfully in the United Kingdom and that any orders placed through the Platform are for business purposes and not for personal consumer use.
3. Registration and Account Security
To register a trade account you must provide the information requested by our application form, including your contact name, contact telephone number, business legal name, business type, trading address, and VAT number where applicable.
You are responsible for the accuracy of the information you submit and for keeping your login credentials confidential. You are responsible for all activity that takes place through your account. Notify us at hello@wmart.co.uk if you become aware of any unauthorised access.
Trade accounts are subject to manual approval. Access to ordering features is granted once your application is approved.
4. Orders and Contract Formation
Product listings on the Platform are invitations to treat and do not constitute offers to sell. When you submit an order you are making an offer to purchase the listed products at the displayed wholesale price.
A legally binding contract is formed once we issue an order confirmation. We may decline or cancel any order where products are unavailable, incorrectly priced, or where we are unable to verify your business credentials.
5. Pricing and Payment
All prices on the Platform are in Pounds Sterling and are exclusive of VAT unless expressly stated otherwise. VAT is added at the applicable rate where required by law.
Payment is taken at checkout via card and is processed by our payment provider, Stripe. We do not store full card details. Where additional payment methods are made available in future they will be presented at checkout before you confirm your order.
6. Delivery
Delivery is performed in line with our Delivery Policy. Risk in the products passes to you on delivery. Title passes once we have received payment in full for the relevant order.
Any shortages, damage, or discrepancies must be reported to orders@wmart.co.uk within 24 hours of delivery.
7. Returns, Refunds, and Cancellations
Because the Platform supports business-to-business transactions, statutory consumer cancellation rights do not apply.
If products are defective, damaged, or materially different from your order, contact orders@wmart.co.uk within 24 hours of delivery. Subject to verification we will, at our discretion, arrange a replacement, credit note, or refund for the affected items.
Perishable products can only be returned where they were defective or incorrect at the time of delivery; we cannot accept returns of perishable products for change of mind.
8. Acceptable Use
You must use the Platform lawfully and in a way that does not interfere with our operations, other users, or third-party rights.
- Do not engage in any unlawful, fraudulent, or deceptive activity.
- Do not list, sell, or attempt to purchase products that are illegal, counterfeit, stolen, or otherwise prohibited under UK law.
- Do not misrepresent the origin, quality, composition, or halal or dietary status of any product.
- Do not provide false, inaccurate, or misleading business or identity information.
- Do not infringe any intellectual property rights, including trade marks, copyrights, or patents.
- Do not distribute malware, viruses, or any harmful software or code via the Platform.
- Do not attempt to gain unauthorised access to other users' accounts, our systems, or any connected networks.
- Do not scrape, data mine, or otherwise extract data from the Platform using automated tools without our written permission.
- Do not interfere with or disrupt the operation of the Platform or its underlying infrastructure.
- Do not use the Platform to send unsolicited commercial messages or spam to other users.
- Do not circumvent or attempt to circumvent any security measures, access controls, or usage limits.
- Do not create multiple accounts for the same business entity without our authorisation.
9. Food Safety and Compliance
Products listed on the Platform must comply with UK food law, including the Food Safety Act 1990, the Food Safety and Hygiene (England) Regulations 2013, equivalent regulations in Scotland, Wales, and Northern Ireland, and retained EU food law as applicable in the United Kingdom.
Allergen information must be provided in accordance with the Food Information Regulations 2014, as amended by Natasha's Law. Buyers are responsible for communicating allergen information to their own customers where required.
10. Disclaimer and Platform Information
The information on the Platform is provided for general business-to-business trading purposes only. While we take reasonable steps to ensure that information is accurate, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the Platform or its content.
Product descriptions, images, and specifications are intended as a guide only. You should verify product details, including allergen information, directly with the supplier where necessary.
Nothing on the Platform constitutes legal, financial, tax, food safety, or other professional advice. You should seek independent professional advice where appropriate.
Links to third-party websites or services are provided for convenience only. We do not control and are not responsible for the content, privacy practices, or operations of any third-party website or service.
We do not guarantee that the Platform will be available at all times or that it will be free from errors, viruses, or other harmful components. We may suspend or restrict access to all or part of the Platform for business and operational reasons.
11. Limitation of Liability
To the fullest extent permitted by law, WMart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of data, or business interruption, however caused.
Our total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
12. Data Protection
We process personal data in accordance with our Privacy Policy, which forms part of these Terms. By using the Platform you acknowledge that you have read and understood our Privacy Policy.
13. Suspension and Termination
You may close your account at any time by emailing hello@wmart.co.uk. Closure of your account does not affect any outstanding orders or payment obligations.
We may suspend or terminate your account immediately if you breach these Terms, fail to make payment when due, become insolvent or enter into any form of insolvency proceedings, or if we reasonably suspect fraudulent or unlawful activity.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
